OnStar uses cellular service to connect, so if you have an emergency, either both OnStar and your cell phone work, or neither work. So there's no advantage to using OnStar rather than just dialing 911
OnStar systems detect that a collision has occurred and dial 911 for you. The phone can't do this as well, though it could perhaps do it. The service also has other features. I don't think it's a good deal (I don't want the spyware either) but it's not just a phone with an emergency button.

I did it for a while, it's nice that they package the necessary files with the kernel, but it's nicer to not have to. These days I get a current kernel and a ntsync module without having to do anything special.
