99% of people would just click "OK", and have their metadata, including GPS coordinates, uploaded.
While you could say it's their own damn fault, it would still be a huge privacy problem.

unencumbered means it can be implemented without paying royalties. That's kind of a big deal in many projects. h.264 does have a royalty free (read market maximization) period for some uses/volumes right now, but they aren't permanent.
As for quality, it's fully up to par with mpeg4 afaik.
